These Terms of Service ("Terms") govern your access to and use of the Restokio app and website ("Restokio", "Service"). By installing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1.The Service
Restokio is an inventory management and purchasing application for Shopify merchants. It mirrors your products and stock, computes sales velocity and reorder suggestions, helps you create and send purchase orders, records receiving, and writes received stock back to your Shopify inventory. Features available to you depend on your plan.
2.Eligibility & account
You must have an active Shopify store and the authority to install apps and accept these Terms on its behalf. You are responsible for activity that happens under your store's access, and for keeping your store's credentials secure.
3.Plans, billing & trials
- Free plan provides data rescue and export features at no charge.
- Restokio Pro is a paid subscription that unlocks purchase orders, receiving, reorder planning and alerts. It includes a free trial period; after the trial, the subscription renews on a recurring basis until cancelled.
- Billing is handled by Shopify through the Shopify Billing API and appears on your Shopify invoice. Prices are shown in the app before you subscribe and may change with notice. Except where required by law, charges are non-refundable.
- Cancellation: you can cancel anytime by downgrading or uninstalling the app. Access to paid features ends at the close of the current billing period.
4.Acceptable use
You agree not to misuse the Service, including: using it unlawfully or to infringe others' rights; attempting to access data of stores that are not yours; probing, scanning or interfering with the Service's security or availability; reselling or reverse-engineering the Service; or using it to send unsolicited or unlawful communications.
5.Your data & privacy
Your use of the Service is also governed by our Privacy Policy, which explains what we access and store. You are the controller of your store's data and we act as your processor. You are responsible for the accuracy of the data you enter (supplier details, costs, lead times) and for your communications with suppliers. We process the minimum data necessary and never store your customers' personal data.
6.Estimates & your decisions
Reorder suggestions, sales velocity, forecasts, days-of-cover and stockout and dead-stock alerts are estimates generated from your historical data to support your decisions. They are not guarantees of future demand or outcomes. You are solely responsible for purchasing, pricing and shipping decisions. Always review quantities before creating or sending a purchase order, and verify your Shopify inventory after receiving.
7.Third-party services
The Service depends on Shopify and other providers (such as email delivery and hosting). We are not responsible for the availability, acts or omissions of third-party services, and your use of Shopify remains subject to Shopify's own terms.
8.Availability & changes
We work to keep the Service available and accurate but provide it on an "as is" and "as available" basis without warranties of any kind, to the fullest extent permitted by law. We may add, change or remove features, and may suspend the Service for maintenance.
9.Limitation of liability
To the fullest extent permitted by law, Restokio will not be liable for any indirect, incidental, special or consequential damages, or for lost profits, lost sales, overstock, stockouts or loss of data, arising from your use of or inability to use the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid for the Service in the three months before the claim.
10.Termination
You may stop using the Service at any time by uninstalling it. We may suspend or terminate access if you breach these Terms or use the Service in a way that risks harm to others or to the platform. On termination, your data is deleted as described in the Privacy Policy.
11.Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with a new date and, where appropriate, notified in the app. Continued use after changes take effect means you accept the updated Terms.
12.Governing law
These Terms are governed by the laws of Brazil, without regard to conflict-of-law rules, and disputes will be subject to the competent courts of Brazil, except where mandatory consumer-protection law provides otherwise.
